Terms and Conditions of Sale

Pedarson Ltd trading as Underfloor Heating Store

These Terms apply to all sales and use of services provided by Pedarson Ltd (“we”, “us”, “our”), including through the “Insert website name here” website and store (the “Services”).

The Services are hosted on Shopify, which provides the online e-commerce platform that enables us to sell our products.

By accessing our website, placing an order, or otherwise using our Services, you agree to these Terms.


1. Definitions

Buyer means the person or business purchasing Goods.

Consumer means an individual purchasing wholly or mainly outside their trade, business, craft or profession.

Business Buyer means a purchaser acting in the course of business or trade.

Goods means products supplied by Pedarson Ltd.

Services means our website, store, ordering systems and related functionality.


2. Basis of Contract

Orders may be placed:

  • Via our website
  • By telephone
  • By email
  • Via messaging platforms (including WhatsApp)

A contract is formed when we confirm acceptance of your order.

The Buyer must confirm whether they are purchasing as a Consumer or Business Buyer at the time of ordering.


3. Access to Website and Accounts

  • You must be at least 18 years old to place an order.
  • You are responsible for ensuring all information provided is accurate and complete.
  • You are responsible for maintaining the confidentiality of any account credentials.
  • We reserve the right to suspend or terminate accounts where misuse is identified.

4. Products and Descriptions

We make reasonable efforts to ensure product descriptions and images are accurate. However:

  • Colours and appearance may vary due to device display settings.
  • Specifications may change without notice as part of product development.
  • Availability may be limited.

Nothing in this section limits your statutory rights.


5. Prices and Payment

  • All prices are shown in Pounds Sterling.
  • VAT is included where applicable unless stated otherwise.
  • Delivery charges are displayed prior to checkout.
  • We reserve the right to correct pricing errors before dispatch.
  • Payment must be received in full before dispatch unless otherwise agreed in writing.
  • Title remains with us until full payment is received.

6. Delivery

For Consumers: Delivery is complete when Goods are delivered to your address.

For Business Buyers: Delivery is complete when Goods are made available for dispatch or collection.

Delivery times are estimates only.

We are not responsible for delays caused by carriers or events outside our reasonable control.


7. Consumer Cancellation Rights

Consumers have the right to cancel within 14 days from the day after receipt of Goods.

Cancellation must be made in writing (email is acceptable).

Returned Goods must be unused and in original packaging.

Refunds will be processed within 14 days of receiving returned Goods.

Return costs are the responsibility of the Consumer unless Goods are faulty.


8. Faulty or Damaged Goods

Consumers are entitled to remedies in accordance with the Consumer Rights Act 2015.

Business Buyers must notify faults within 7 days of discovery.

Where a fault is confirmed, we will repair or replace the Goods at our discretion.

We reserve the right to inspect returned Goods. If no fault is found, reasonable inspection charges may apply.


9. Installation and Use

Unless we provide a written design specification, the Buyer is responsible for ensuring suitability for the intended application.

We are not liable for damage to property, floors, structures, or finishes arising from installation, removal, or replacement of Goods except where directly caused by a defect in the Goods supplied.

We are not liable for damage caused by:

  • Incorrect installation
  • Failure to follow instructions
  • Misuse or neglect
  • Non-compliance with regulations or standards
  • Work carried out by third parties

10. Intellectual Property

All website content, trademarks, logos, images, text and design remain our property or that of our licensors.

You may use the Services for personal or legitimate business purchasing purposes only.

You must not reproduce, distribute, modify, or exploit any content without written permission.

Shopify’s trademarks remain the property of Shopify Inc.


11. Third-Party Tools and Links

Our Services may contain third-party links or tools.

We are not responsible for third-party content, products or services accessed via such links.

Use of third-party tools is at your own risk.


12. Feedback and Reviews

If you submit feedback or reviews, you grant us a non-exclusive, royalty-free licence to use, reproduce and display that content for business purposes.

You confirm that:

  • You own or have permission to submit the content.
  • The content does not infringe third-party rights.
  • The content is not unlawful or misleading.

We reserve the right to remove inappropriate content.


13. Prohibited Uses

You may not use the Services:

  • For unlawful purposes
  • To infringe intellectual property rights
  • To transmit malicious software
  • To harass or abuse others
  • To attempt to interfere with site security

We reserve the right to suspend access where misuse is detected.


14. Limitation of Liability

Nothing in these Terms excludes liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Statutory rights which cannot be excluded under UK law

Subject to this:

  • We are not liable for indirect or consequential losses, including loss of profit, revenue, or business.
  • For Business Buyers, liability shall be limited to the purchase price of the Goods supplied.

15. Termination

We may suspend or terminate access to our Services where these Terms are breached.

Termination does not affect accrued rights or liabilities.


16. Data Protection

Personal data is processed in accordance with UK data protection legislation and our Privacy Policy.

Shopify may process personal data to provide hosting services.


17. Severability

If any provision is found unenforceable, the remaining provisions shall remain in force.


18. Entire Agreement

These Terms constitute the entire agreement between the Buyer and Pedarson Ltd.


19. Assignment

We may assign our rights and obligations.

The Buyer may not assign rights without written consent.


20. Governing Law

These Terms are governed by the laws of England and Wales.

Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
